These Terms are a binding agreement between you and diru LLC, a California limited liability company.
Will these Terms ever change?
We are continuously improving and evolving diru, which means the Services may change over time. As a result, we may update these Terms from time to time. If we make material changes, we may notify you by posting an updated version within the Services, sending an email, or through another reasonable method.
If you continue using the Services after updated Terms become effective, you agree to the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
Except for changes made by diru as described above, no amendment or modification of these Terms will be effective unless agreed to in writing by both you and diru.
What about my privacy?
diru takes the privacy of its users seriously. Our Privacy Policy explains how we collect, use, store, and disclose information related to your use of the Services. By using the Services, you acknowledge that your information may be collected, used, and shared as described in the Privacy Policy.
The Services are intended only for individuals who are at least 18 years old. We do not knowingly collect personal information from individuals under 18 years of age. If we become aware that personal information has been collected from a person under 18, we will delete such information promptly.
Private Beta Disclaimer and Acknowledgment
diru is currently offered as a closed, private beta product. You acknowledge and agree that the Services are in an experimental and active development phase. Features may be incomplete, unstable, experimental, unavailable, delayed, or inaccurate.
The software may contain bugs, errors, security vulnerabilities, synchronization issues, or infrastructure interruptions that could result in temporary outages, inaccurate information, or partial data loss.
You acknowledge that your use of the Services during the beta phase is at your own discretion and risk. diru does not guarantee continuous availability, uninterrupted access, permanent data retention, or correction of all defects identified during the beta period.
diru reserves the right to modify, suspend, discontinue, or terminate any portion of the beta Services, including user access and beta functionality, at any time and without liability.
What are the basics of using diru?
You may be required to create an account to access certain portions of the Services. You agree to provide accurate, complete, and current information and to maintain the security and confidentiality of your account credentials. You are responsible for all activity associated with your account, including any activity by individuals with whom you intentionally share access through couples or household tools.
You agree to use the Services only for lawful, personal, and non-commercial purposes and only in compliance with applicable local, state, federal, and international laws.
You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
You further agree not to infringe the intellectual property rights of diru or others, reverse engineer or attempt to extract source code or underlying systems associated with the Services, use automated scripts, scrapers, bots, or similar technologies to access or extract data from the Services, or use the Services or AI-generated outputs to develop or improve competing artificial intelligence or financial technology products.
A violation of these Terms may result in suspension or termination of your access to the Services and may subject you to legal action where permitted by law.
Is diru a bank or financial advisor?
No. diru is not a bank, financial institution, registered investment adviser, broker-dealer, accounting firm, law firm, tax adviser, or consumer reporting agency.
The Services are provided solely for personal informational, educational, and organizational purposes. Nothing within the Services, including automated financial insights, budget projections, categorizations, or AI-generated content, constitutes financial, investment, legal, tax, or professional advice of any kind.
Any financial data, calculations, projections, or summaries displayed through the Services are estimates and may not reflect real-time or complete information. You acknowledge that you are solely responsible for your financial decisions and that diru bears no liability for financial choices, gains, losses, or actions taken based on information displayed through the Services.
Third-Party Services and Providers
diru utilizes third-party financial data aggregators, including Plaid and other financial technology providers, to connect and retrieve data from your financial institutions. By utilizing these tools, you authorize diru and its service providers to access, retrieve, process, transmit, and display financial information from your designated financial accounts on your behalf in order to provide the Services.
You acknowledge that diru does not directly store your raw bank login credentials, passwords, PINs, or multi-factor authentication credentials.
Connected financial accounts are used to retrieve, organize, and display financial information. diru does not use connected financial accounts to initiate transfers, payments, trades, or other money movement.
Financial information displayed through the Services may be delayed, incomplete, unavailable, or inaccurate due to synchronization limitations, institution restrictions, outages, processing delays, network interruptions, or other issues originating from financial institutions or third-party providers.
diru does not guarantee that balances, transactions, categorizations, historical records, account information, or synced financial data displayed through the Services will always be accurate, complete, current, or available. Financial institution integrations may be interrupted, delayed, restricted, modified, or discontinued at any time by third-party providers or financial institutions.
The Services may rely upon or integrate with third-party providers, websites, APIs, artificial intelligence systems, cloud infrastructure providers, analytics providers, and other external technologies or services that are not owned or controlled by diru. diru does not control and is not responsible for the availability, accuracy, security, content, privacy practices, policies, or performance of third-party services or financial institutions.
You acknowledge that third-party providers and financial institutions may experience outages, interruptions, delays, security incidents, data inaccuracies, or operational failures outside of diru’s control. By using the Services, you acknowledge and agree that diru shall not be liable for damages, losses, inaccuracies, interruptions, delays, unauthorized disclosures, or other issues arising from or relating to third-party services, financial institutions, or external providers.
Your use of third-party financial account aggregation services remains subject to the terms, conditions, and privacy policies of the applicable third-party providers and financial institutions.
Shared and couples features
The Services may include shared or couples functionality designed to allow users to share financial information, budgets, account visibility, goals, or transaction data with another authorized user.
By enabling shared features or inviting another user into a shared financial environment, you expressly authorize diru to display selected financial information to the authorized linked user.
You understand and acknowledge that once access is intentionally granted, certain historical or ongoing financial information may become visible to the linked user through shared account functionality.
diru is not responsible for disputes, financial decisions, or consequences arising from your decision to enable shared or couples features.
AI-powered features
The Services may leverage artificial intelligence technologies, including technologies provided by OpenAI and other third-party providers, in order to generate financial summaries, categorizations, insights, explanations, or interactive responses.
Artificial intelligence systems are probabilistic in nature and may produce inaccurate, incomplete, outdated, or misleading outputs. AI-generated content may not reflect actual financial records or current account conditions.
You acknowledge and agree that AI-generated outputs should not be relied upon as an official financial record or substitute for independent verification or professional advice.
You remain solely responsible for reviewing and verifying financial records directly with your financial institutions before making decisions based on AI-generated outputs or summaries.
What are my rights in diru?
The Services, including all software, source code, interfaces, visual designs, branding, logos, proprietary logic, text, graphics, and intellectual property associated with the Services, are owned exclusively by diru LLC or its licensors.
Subject to your compliance with these Terms, diru grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the beta period for personal, non-commercial purposes only.
No ownership rights are transferred to you under these Terms.
What about information I provide to diru?
You retain ownership of information you manually provide to the Services, including notes, financial targets, categories, or other user-generated inputs.
However, you grant diru a worldwide, royalty-free license to host, store, process, analyze, anonymize, aggregate, and otherwise use such information as necessary to operate, maintain, secure, improve, and optimize the Services in accordance with our Privacy Policy.
If you submit beta feedback, feature suggestions, bug reports, recommendations, or other feedback relating to the Services, you grant diru the unrestricted right to use, implement, modify, commercialize, or incorporate such feedback without compensation or attribution.
Data Retention and Availability
diru may maintain, cache, archive, or delete financial information, synced data, user-generated content, and related account records in accordance with operational, legal, security, backup, and business requirements.
diru does not guarantee indefinite storage or preservation of financial information, transaction history, uploaded content, or account-related data. Users are solely responsible for independently retaining copies of any records they consider important.

By creating an account or using the Services, you consent to receive communications from diru electronically, including by email, in-app notifications, or other electronic means.
You agree that all agreements, notices, disclosures, and communications provided electronically satisfy any legal requirement that such communications be in writing.

Mandatory Arbitration Agreement and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.
You and diru LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the private beta program shall be resolved exclusively through final and binding arbitration, except that either party may bring an individual claim in small claims court if such claim qualifies.
The Federal Arbitration Act governs the interpretation and enforcement of this section.
Any arbitration shall take place on an individual basis only. CLASS ARBITRATIONS, CLASS ACTIONS, COLLECTIVE ACTIONS, AND REPRESENTATIVE PROCEEDINGS ARE NOT PERMITTED. YOU AND diru EACH AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION AGAINST THE OTHER.
The arbitrator may not consolidate the claims of multiple parties or preside over any form of representative or class proceeding.
The arbitration shall be administered by JAMS under its applicable Streamlined Arbitration Rules and Procedures then in effect. The arbitration shall take place in San Francisco County, California, in English, before a single arbitrator experienced in commercial and technology disputes.
Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent actual or threatened misuse of intellectual property, confidential information, security rights, or unauthorized access to the Services.
YOU UNDERSTAND AND AGREE THAT BY ACCEPTING THESE TERMS, YOU AND diru ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY.
You may opt out of this arbitration provision by sending written notice of your decision to support@diru.ai within thirty (30) days of first accepting these Terms. Your notice must include your full legal name and a clear statement that you wish to opt out of arbitration.
Governing Law and Venue
Except as otherwise provided in the arbitration provisions above, these Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.
For any dispute not subject to arbitration, you and diru agree to the exclusive jurisdiction and venue of the state or federal courts located in San Francisco County, California.

You agree to use the Application only on Apple-branded devices that you own or control and as permitted by the App Store Terms of Service.
You acknowledge that Apple has no obligation whatsoever to furnish maintenance or support services with respect to the Application.
